These Terms of Service ("Terms") govern your access to and use of Solen ("Solen," "we," "us") and the website and services at solenai.ca (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service description

Solen provides an AI-powered software generation and deployment platform. You describe what you want to build; Solen may generate code, configure infrastructure, deploy applications, and offer monitoring or healing features. Features may change over time. The Service is provided on an "as is" and "as available" basis unless otherwise agreed in writing (e.g. an enterprise agreement).

2. Eligibility and accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

3. Acceptable use

You agree not to use the Service to:

Violate any applicable law or regulation;
Generate, distribute, or deploy malware, exploits, or other code intended to harm systems, users, or third parties;
Harass, threaten, or infringe the rights of others, or generate unlawful, defamatory, or infringing content;
Attempt to probe, scan, or test the vulnerability of our systems without authorization, or circumvent security or rate limits;
Resell or sublicense the Service in violation of your plan or our policies, or use the Service to build a competing service by systematic scraping or reverse engineering of our platform.

We may suspend or terminate access for violations of this section.

4. Intellectual property

Your content. Subject to these Terms and our Privacy Policy, you retain rights in prompts and outputs you provide or generate, as applicable under law. You grant us a license to host, process, transmit, and display your content as needed to operate the Service (including AI processing and deployment).

Solen platform. The Solen name, logo, software (excluding your generated apps as separate works), documentation, and platform features are owned by us or our licensors. Except for the rights expressly granted here, we reserve all rights.

Generated applications. You are responsible for your use of generated code, including compliance with licenses of any third-party libraries or dependencies included in outputs. We do not warrant that generated code is free of third-party claims.

5. Third-party services

The Service integrates with third parties (e.g. hosting, databases, AI providers, payment processors). Their terms and policies apply to their services. We are not liable for third-party failures beyond our reasonable control.

6. Fees and payment

Paid plans are billed according to the pricing presented at purchase. Taxes may apply. Failure to pay may result in suspension. Refunds, if any, are governed by the terms shown at checkout or in a separate order form.

7. Service availability

We strive for reliable operation but do not guarantee uninterrupted access, error-free operation, or specific uptime at this stage. Planned or emergency maintenance may occur. We are not liable for downtime except as required by applicable law or a separate written SLA.

8. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INCORRECT OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING AND TESTING BEFORE PRODUCTION USE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOLEN OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW (E.G. GROSS NEGLIGENCE OR WILLFUL MISCONDUCT).

10. Indemnity

You will defend and indemnify Solen and its affiliates, officers, and employees against third-party claims arising from your content, your use of the Service in violation of these Terms, or your violation of law or third-party rights, subject to our prompt notice and reasonable cooperation.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms, risk to the Service or others, non-payment, or as required by law. Provisions that by their nature should survive (e.g. liability limits, indemnity, intellectual property) will survive termination.

12. Governing law and venue

These Terms are governed by the laws of Canada and the applicable laws of the province or territory agreed in a separate contract, or otherwise the Province of Ontario, excluding conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, subject to mandatory consumer protections in your place of residence where they cannot be waived.

13. Changes to terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we will provide notice by email to the address associated with your account or through in-product notice where appropriate. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

14. General

These Terms constitute the entire agreement between you and Solen regarding the Service and supersede prior understandings. If any provision is invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
